EULA - End User License Agreement

END USER LICENSE AGREEMENT FOR TASKEY® Me2Team ONLINE
IMPORTANT: READ CAREFULLY - The software service accompanying this End User License Agreement (EULA) is provided to you subject to the terms and conditions of this License Agreement.
BY OTHERWISE USING THE TASKEY Me2Team SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THIS SOFTWARE.
If access to TASKey Me2Team Online (the Software) is provided to you by TASKey Pty Ltd ("TASKey") you will have been provided with a Password. You must agree to the following terms and conditions.
If you are trialing TASKey Me2Team then you may do so with a valid Password provided to you by TASKey. You may trial TASKey Me2Team free for a period of 15 days from when you obtained the Password.
TERMS
Your rights under this license will cease immediately without notice from TASKey if you fail to comply with any provision of this EULA. The License continues until terminated by TASKey, but you will incur no further liability under the license from the time when you stop accessing the Software, related documentation and all copies thereof. You may not transfer your rights under this EULA.
CONDITIONS
This Software License Agreement only allows the number of users that you have paid a subscription for to login to the Software covered by this license at any one time.
You may not distribute your TASKey Me2Team Password to others; rent, lease or otherwise grant rights to this Software or its support modules; reverse engineer, decompile or dissemble the Software or alter or update the Software save with the express written permission of TASKey or through an authorised TASKey update.
DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, TASKey and its suppliers provide TASKey Me2Team and any (if any) support services related to the Software AS IS AND WITH ALL FAULTS, and hereby disclaim all warranties and conditions, either express, implied or statutory, including, but not limited to, any (if any) implied warranties or conditions of merchantability, of fitness for a particular purpose, of lack of viruses, of accuracy or completeness of responses, of results, and of lack of negligence or lack of workmanlike effort, all with regard to the Software, and the provision of or failure to provide Support Services. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT, WITH REGARD TO THE PRODUCT. THE ENTIRE RISK AS TO THE QUALITY OF OR ARISING OUT OF USE OR PERFORMANCE OF THE PRODUCT AND SUPPORT SERVICES, IF ANY, REMAINS WITH YOU.
EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES
To the maximum extent permitted by applicable law, in no event shall TASKey or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits or confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and or any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the Software, the provision of or failure to provide Support Services, or otherwise under or in connection with any provision of Agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of TASKey or any supplier, and even if TASKey or any supplier has been advised of the possibility of such damages.
LIMITATION OF LIABILITY AND REMEDIES
Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of TASKey and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software. The foregoing limitations, exclusions and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.
GENERAL
This Agreement is governed by the laws of the Australian Capital Territory, Australia. If any provision of this Agreement is invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, to give effect to the parties' intention, and the other provisions shall continue in full force and effect. You acknowledge that this license constitutes the entire agreement between the parties, and supersedes any proposal, representation or prior agreement, oral or written, and any other communications. If this product was acquired outside Australia, then local laws may apply.
INTELLECTUAL PROPERTY
All title, ownership rights, and intellectual property rights in and to the Software shall remain with TASKey. The Software is protected by the copyright laws of Australia, international copyright treaties, and all other applicable national laws. Parts of the Software are protected by:
